These Terms and Conditions ("Terms") govern your access to and use of the website vlinknow.com ("Website") and the products, platforms, software, APIs, and services provided by ISYS Technologies Private Limited, its affiliates, subsidiaries, and assigns ("VLinknow", "ISYS", "we", "us", or "our").

By accessing or using the Website or Services, you ("you", "your", or "User") agree to be bound by these Terms, our Privacy Policy, and any other policies incorporated by reference. If you do not agree, you must not use the Website or Services.

This document is an electronic record under the Information Technology Act, 2000, and does not require physical or digital signatures.

1. ABOUT VLINKNOW

ISYS Technologies operates vlinknow.com, a platform providing artificial intelligence, platform-as-a-service (PaaS), software solutions, APIs, and related digital services over the internet ("Services").

If you access or use the Services on behalf of a company, partnership, or other legal entity ("Entity"), you represent that you are authorized to bind such Entity, and the terms "you" and "your" shall include both you and the Entity.

2. ELIGIBILITY

  • Only persons competent to contract under the Indian Contract Act, 1872 may use the Services.
  • Users under 18 years of age may not use the Services unless accessed through a registered parent or legal guardian.
  • Users previously suspended or terminated by ISYS are not permitted to access the Services.

3. ACCOUNT REGISTRATION & MEMBERSHIP

3.1 Account Information

You agree to provide true, accurate, current, and complete information during registration and to keep such information updated. You are solely responsible for safeguarding your login credentials and all activity under your account.

ISYS shall not be liable for unauthorized use of your account. Any suspected breach must be immediately reported.

3.2 Communications

By registering, you consent to receive electronic communications from ISYS, including service-related notices, updates, and promotional messages. You may opt out of promotional emails, but essential service communications may still be sent.

3.3 Suspension or Termination

ISYS reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, if you violate these Terms or applicable law.

4. USE OF SERVICES OUTSIDE CLOUD ENVIRONMENT

If you deploy or host VLinkNow Services on your own servers or infrastructure:

  • You are solely responsible for security, maintenance, monitoring, and compliance.
  • ISYS shall not be liable for data loss, breaches, or service failures.
  • No ownership or license to copy, modify, distribute, or reverse-engineer ISYS proprietary content is granted unless expressly agreed in writing.

5. PROHIBITED USES

You agree not to use the Website or Services for:

  • Any unlawful, fraudulent, or misleading purpose
  • Violating any applicable law or regulation
  • Infringing intellectual property rights
  • Harassment, abuse, discrimination, or defamatory conduct
  • Uploading malicious code, viruses, or harmful scripts
  • Collecting personal data without consent
  • Spamming, scraping, phishing, or bypassing security controls
  • Obscene, immoral, or unethical purposes

Violation may result in immediate termination.

6. USER CONTENT ("USER SUBSTANCE")

6.1 Ownership

You retain ownership of data and content uploaded by you ("User Substance"). ISYS does not claim ownership.

6.2 License

By submitting User Substance (excluding restricted/private data), you grant ISYS a non-exclusive, worldwide, royalty-free, perpetual license to use such content for operating, improving, marketing, and promoting the Services.

6.3 Monitoring & Removal

ISYS may review, monitor, or remove User Substance that violates law, third-party rights, or these Terms.

6.4 Responsibility

You are solely responsible for your User Substance and any consequences arising from it. ISYS acts only as a technology platform and shall not be liable for User-generated content.

7. API USAGE

  • API access is subject to rate limits, monitoring, and change at ISYS's discretion.
  • You are responsible for all activity conducted via your API credentials.
  • ISYS may suspend or revoke API access at any time without liability.

8. INTELLECTUAL PROPERTY

All content on the Website, including software, code, interfaces, designs, logos, trademarks, and documentation ("ISYS Content"), is owned or licensed by ISYS and protected by applicable intellectual property laws.

You may not copy, modify, distribute, sublicense, reverse-engineer, or exploit ISYS Content without written permission.

Any feedback or suggestions you provide may be used by ISYS without compensation or obligation.

9. PAYMENTS & REFUNDS

  • Certain Services may require payment as per pricing displayed.
  • Fees are non-refundable unless expressly stated otherwise.
  • ISYS may revise pricing at any time with prospective effect.
  • You are responsible for applicable taxes.

10. PRIVACY

Your use of Services is governed by our Privacy Policy, which explains how personal data is collected, stored, processed, and protected in compliance with Indian laws.

11. DISCLAIMERS

  • Services are provided "AS IS" and "AS AVAILABLE".
  • ISYS disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
  • ISYS does not guarantee uninterrupted, error-free, or secure operation.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • ISYS shall not be liable for indirect, incidental, consequential, punitive, or special damages.
  • ISYS's total liability shall not exceed the amount paid by you to ISYS in the preceding 12 months.

13. INDEMNITY

You agree to indemnify and hold harmless ISYS, its affiliates, directors, employees, and partners from any claims, losses, damages, or expenses arising from:

  • Your use of Services
  • Violation of these Terms
  • Infringement of third-party rights
  • Unlawful activity

14. GOVERNING LAW & DISPUTE RESOLUTION

  • These Terms are governed by the laws of India.
  • Disputes shall first be attempted to be resolved amicably by contacting hr@isystech.net.
  • Unresolved disputes shall be referred to arbitration in Mumbai, under the Arbitration and Conciliation Act, 1996, in English.
  • Courts at Mumbai shall have exclusive jurisdiction.

15. MISCELLANEOUS

Assignment: ISYS may assign these Terms without restriction.

Amendments: ISYS may modify these Terms at any time; continued use constitutes acceptance.

Severability: Invalid provisions shall not affect remaining Terms.

Termination: ISYS may terminate access at its sole discretion without notice.
